The Business Invest company (Dnipropetrovsk) reported about a valid extraordinary meeting of shareholders in energy generation company Dniproenerho (Zaporizhia) on March 21.
Ukrainian News learned this from Business Invest representative Oleksandr Vinnychenko.
"A number of minority shareholders and the main shareholder, the state in the person of national joint stock company Energy Company of Ukraine, were registered," he said.
In his words, the meeting, particularly, examined the questions of change of Dniproenerho management.
"Among the most important, one may single out the questions of dismissal of management, the whole of the supervisory board, the audit commission and the board of directors, and appointment to those posts of new candidacies that were considered at the ECU proposal," Vinnychenko said.
Apart from this, the meeting decided to break the contract on the keeping of the company's stock register by UkrNaftoHaz, and transfer these functions to another registrar.
"This is one of Zaporizhia's independent registrars," he said.
Vinnychenko did not call the name of a new registrar.
As Ukrainian News earlier reported, Dniproenerho said that the meeting of its shareholders that was planned for March 21 did not take place because its former shareholder registrar, UkrNaftoHaz, refused to release the register for the meeting.
As a result, according to Dniproenerho, another meeting was scheduled for March 27.
Business Invest filed a lawsuit with the District Administrative Court of Kyiv in late January, asking the court to declare invalid the Cabinet of Ministers' resolution that authorized increase of Dniproenerho's statutory capital.
The High Business Court ruled on January 25 that the Dniproenerho shareholders' decision of August 27, 2007 to increase its statutory capital was lawful.
Shareholders decided on August 27, 2007 to increase the statutory capital of Dniproenerho by UAH 51.086 million to UAH 149.186 million via issuance of additional shares in connection with the decision to merge the Investment Society company with Dniproenerho.
